Beat License Terms.

Every beat in the Vikstudio vault is sold under a single, plain-language Exclusive WAV License for €50. One buyer, full rights, beat is removed from the shop after purchase. Producer takes no publishing share — just credit as "Prod. by Vik57".

EXCLUSIVE WAV LICENSE AGREEMENT

Vikstudio · Vik57 Effective on the date of purchase.

1. Parties

This Exclusive WAV License Agreement (the "Agreement") is entered into between:

  • Producer / Licensor: Viktor Buchmiller, professionally known as Vik57, operating as Vikstudio, Berlin, Germany ("Producer")
  • Licensee: The individual or legal entity identified at checkout ("Licensee")

2. Subject of the Agreement

Producer grants Licensee an exclusive, perpetual, worldwide license to one (1) musical composition (the "Beat") delivered as an uncompressed WAV file (48 kHz / 24-bit), identified by the title shown on the Vikstudio shop and the order receipt.

3. Grant of Rights

Subject to the payment of the License Fee in Section 7, Producer grants Licensee the right to:

  • (a) Reproduce, distribute, perform and stream the Beat in unlimited quantity, in any format, on any platform.
  • (b) Create derivative works (vocals, mixes, remixes, edits) using the Beat.
  • (c) Use the Beat in commercial and non-commercial recordings, music videos, podcasts, films, advertisements, video games, social-media content, and live performances.
  • (d) Monetize all of the above on streaming platforms, video platforms, sync placements and physical sales.
  • (e) Register Licensee's resulting derivative work with collection societies (GEMA, ASCAP, BMI, SACEM, etc.) under Licensee's name.

4. Exclusivity

Upon delivery of the Beat to Licensee:

  • (a) Producer shall remove the Beat from the Vikstudio shop and any other distribution channels under Producer's control.
  • (b) Producer shall not sell, license or distribute the Beat to any other party in the future.
  • (c) Producer retains the right to use the Beat solely for the Producer's own portfolio, demos and showreels.

5. Producer's Retained Rights

Producer retains:

  • (a) The underlying copyright and authorship credit in the original Beat (the composition).
  • (b) No publishing share is claimed by Producer for derivative works that incorporate the Beat. Licensee may register the derivative work and master recording rights without assigning publishing share to Producer.
  • (c) The right to be credited as "Prod. by Vik57" on the metadata, distribution platforms and any printed credits of the derivative work, where reasonably practical.

6. Restrictions

Licensee shall not:

  • (a) Resell, sublicense, or transfer this license to a third party.
  • (b) Re-upload, re-distribute or sell the isolated WAV file as a beat, sample pack or instrumental.
  • (c) Register the underlying composition (the Beat itself, without vocals or substantive derivative content) with a collection society as Licensee's own work.
  • (d) Use the Beat in content that is unlawful, defamatory, hateful, or that infringes the rights of third parties.

7. License Fee

A one-time, non-refundable License Fee of €50.00 EUR (fifty euros), payable in full at checkout. Delivery of the WAV file constitutes acceptance of this Agreement.

8. Delivery

Producer shall deliver the WAV file via email or download link within forty-eight (48) hours of payment. The delivered file is the master mix of the Beat in 48 kHz / 24-bit WAV format.

9. Warranties

Producer warrants that:

  • (a) Producer is the sole author of the Beat and has full authority to grant this license.
  • (b) The Beat does not knowingly infringe any third-party rights at the time of sale.

Licensee warrants that all derivative works created using the Beat will not infringe third-party rights and will not be used in any unlawful manner.

10. Indemnification

Each party shall indemnify the other against claims arising from a breach of its respective warranties under Section 9.

11. Termination

This license automatically terminates if Licensee materially breaches Sections 4 (Exclusivity) or 6 (Restrictions). Upon termination, Licensee must cease all distribution of derivative works incorporating the Beat. Producer's remedies are cumulative and not limited to termination.

12. Governing Law

This Agreement is governed by the laws of the Federal Republic of Germany. Exclusive jurisdiction lies with the competent courts of Berlin.

13. Entire Agreement

This Agreement, together with the order receipt, constitutes the entire agreement between the parties regarding the Beat and supersedes any prior understandings.
